Mandate
Buy-side origination
The client was pursuing an ambitious UK-wide buy-and-build strategy across specialist care, but the acquisition criteria were highly specific.
Rather than looking for broad exposure to the sector, the client wanted to identify high-quality, operationally robust providers that met a tightly defined investment thesis around scale, site configuration, regulatory quality, fee rates, property ownership and expansion potential.
The objective was to build a proprietary pipeline of businesses that would be difficult to identify through conventional databases or intermediary-led processes alone.
The acquisition thesis
A highly selective search, with businesses required to meet multiple operational, financial, regulatory and property-related criteria simultaneously.
The programme
Guidesource conducted a detailed UK-wide mapping exercise to identify providers capable of meeting the thesis, assessing service type, number and location of sites, bed configuration, regulatory performance, estimated financial scale, fee rates, property ownership, portfolio concentration, expansion potential and shareholder structure.
Engagement ran across direct telephone outreach, email and LinkedIn. Given the specificity of the mandate, the objective was not simply to generate interest but to establish whether each business could genuinely meet the client's requirements before progressing a conversation.
That qualification filtered out businesses that appeared relevant at first glance but did not meet the strict underlying criteria.

Qualified acquisition opportunities introduced
Each represented a business screened against both the acquisition thesis and the information gathered through direct shareholder conversations.
Owner discussions covered ownership and succession, service model, portfolio structure, property ownership, regulatory performance, fee rates, growth and expansion potential, transaction appetite and timing.
The initial engagement developed into a multi-year partnership. Guidesource is now embedded alongside the client's acquisition team, continuing to support the wider UK acquisition strategy through market mapping, direct owner engagement and ongoing pipeline development.
Due to the ongoing nature of the engagement and confidentiality surrounding live acquisition activity, transaction-level outcomes are not disclosed.
